TERMS OF USE

1. Introduction

These Terms of Use (the "Terms") govern access to and use of the websites, web applications, mobile applications, portals, APIs, databases, reporting tools, dashboards, field data collection tools, backend systems and future digital modules operated or made available by Kijani Forestry Ltd. ("Kijani", "we", "us" or "our") (collectively, the "Platform").


The Platform includes, without limitation, the public website at www.kijaniforestry.com, the internal web application at app.kijaniforestry.com, the Kijani Forest Manager mobile application, related APIs and backend systems and any future modules or digital services introduced by Kijani.


These Terms apply to all persons who access the public website and to all authorised personnel who access or use the restricted parts of the Platform. Restricted parts of the Platform are for internal, permission-based use only and may be used only by authorised Kijani staff, officers, field agents, MEL Officers, consultants, contractors or other personnel expressly permitted by Kijani (collectively, "Authorised Users"). Farmers do not log into the Platform unless Kijani expressly introduces and authorises such access in writing.


By accessing the Platform, signing into any restricted system, using any Kijani mobile or web application or accepting an employment, consultancy, contractor or other engagement agreement that incorporates these Terms, you agree to comply with these Terms. If you do not agree to these Terms, you must not access or use the Platform

2. Legal Entity and Contact Information

The Platform is operated by Kijani Forestry Ltd., a private company incorporated in Uganda.

3. Relationship With Other Agreements and Policies

These Terms supplement and do not replace, any employment agreement, consultancy agreement, contractor agreement, farmer agreement, partner agreement, confidentiality undertaking, operational policy, data protection policy, IT policy, field operations policy or other written agreement applicable to an Authorised User or to Kijani's activities.


If there is a conflict between these Terms and a signed written agreement with Kijani, the signed written agreement will prevail to the extent of the conflict, unless that agreement expressly states otherwise.


Kijani's Data Privacy and Protection Policy explains how Kijani collects, uses, stores, shares and protects personal data. Use of the Platform is also subject to that policy and any other privacy notices or consent forms issued by Kijani from time to time.


Where the Platform or mobile application is obtained or accessed through a third-party app store, marketplace, operating system, device, mapping provider, cloud provider, analytics provider, notification provider or other third-party service, the relevant third-party terms may also apply. These third-party terms do not replace these Terms.

4. Authorised Use of the Platform

The restricted Platform is provided for legitimate Kijani business, operational, monitoring, reporting, verification, administrative, research, legal compliance, sustainability and forestry-related purposes only.

Authorised Users may use the Platform only within the scope of their role, assignment, permissions, training and instructions from Kijani. Authorised Users must not access, view, collect, change, export, download, share or delete data unless they are authorised to do so.

The public website may be accessed by visitors for lawful information purposes, subject to these Terms. Access to the public website does not grant any right to access the restricted Platform.

5. Accounts, Credentials and Access Control

Kijani may create or approve user accounts, role permissions, access rights and authentication requirements for Authorised Users. Access may be granted, modified, suspended or withdrawn at Kijani's discretion.


Authorised Users are responsible for keeping usernames, passwords, authentication devices, mobile devices and other access credentials secure. Authorised Users must not share credentials, allow another person to use their account, impersonate another user, bypass access controls or attempt to access functions or data outside their authorised role.


Authorised Users must promptly report suspected unauthorised access, loss of a device, compromise of credentials, security incident, suspected fraud, suspicious data changes or any misuse of the Platform to Kijani through the appropriate internal reporting channel and where appropriate, 

6. Field Data, Farmer Records, GPS Data, Photos and Documents

The Platform may be used to collect, record, upload, store, process, verify, review, analyse and report field data and operational records, including farmer records, garden or plot information, GPS coordinates, GPS boundary polygons, location-tagged photos, tree counts, species information, planting information, tree health information, survival checks, field visit notes, documents, identification records, signatures and related operational information.


Authorised Users must collect and submit field data honestly, accurately, lawfully and in accordance with Kijani's instructions, training, policies and applicable law. Authorised Users must not falsify, manipulate, invent, duplicate, conceal, alter or misrepresent field data, GPS readings, photos, documents, farmer records, tree counts, survival checks or other Platform records.


Authorised Users are responsible for ensuring that information they collect or upload is complete, accurate, timely, relevant and collected through approved procedures. Where an error is discovered, the Authorised User must promptly report it and follow Kijani's correction or verification process.


Kijani may review, audit, correct, reject, flag, restrict, suspend, delete, archive or require resubmission of Platform records where Kijani reasonably considers that the records are incomplete, inaccurate, unverifiable, duplicated, fraudulent, unlawful, inconsistent with field realities or inconsistent with Kijani's policies or project requirements.

7. Consent, Fair Collection and Community Engagement

Authorised Users must obtain and record all consents, permissions, notices, acknowledgements and community approvals required by Kijani's policies, applicable agreements and applicable law before collecting, recording, photographing, scanning, uploading or otherwise processing personal data, farmer records, identification documents, land or garden information, GPS data, photos, signatures or other information relating to farmers, community members, employees, partners, suppliers or other persons.


Authorised Users must not pressure, mislead, deceive, intimidate or coerce any person into providing information or participating in any data collection activity. Authorised Users must communicate Kijani's purpose for data collection in a fair, clear and respectful manner consistent with Kijani's policies and privacy notices.


Where information relating to a child or other vulnerable person may be collected, Authorised Users must follow Kijani's specific procedures and obtain any required parent, guardian, lawful representative or other legally required authorisation before collection or submission.

8. Internal Records and Verification

Platform records, app entries, GPS traces, photos, dashboards, exports and reports are internal Kijani records subject to review, audit, reconciliation and verification. They are not final proof of planting, survival, farmer eligibility, payment entitlement, contractual entitlement, carbon credit issuance, legal compliance or project performance unless expressly confirmed by Kijani through an authorised process.


Kijani may rely on Platform records for operational management, monitoring, audits, quality control, impact reporting, farmer engagement, incentive administration, carbon project monitoring, research, regulatory compliance, contract performance, fraud detection and other legitimate Kijani purposes. Kijani may require additional verification before making decisions based on Platform records.

9. GPS, Mapping, Device and Offline Functionality Limitations

The Platform may use mobile devices, GPS, mapping tools, satellite or terrain data, photos, offline storage, cloud synchronisation, third-party SDKs and related technologies. Authorised Users acknowledge that these technologies may be affected by device quality, GPS signal strength, terrain, weather, user movement, network availability, battery level, camera quality, operating system behaviour, user error, third-party service limitations or delayed synchronisation.


Kijani does not guarantee that GPS coordinates, boundary polygons, area calculations, maps, routes, photos, timestamps, offline records, synchronisation status or automatically generated reports will always be complete, available, accurate, current or error-free. Authorised Users must follow approved field procedures and report any suspected technical or data accuracy issues promptly.


Where the Platform operates offline, Authorised Users remain responsible for safeguarding devices and ensuring that data is synchronised as soon as reasonably possible when connectivity is available. Kijani may treat unsynchronised, incomplete, corrupted, duplicate or unverifiable records as subject to additional review or rejection.

10. Payments, Incentives, Farmer Agreements, Carbon Projects and Benefits

Use of the Platform does not by itself create, guarantee or confirm any payment, incentive, benefit, salary, allowance, farmer entitlement, partner entitlement, procurement entitlement, carbon revenue, carbon credit, certification outcome, employment right, consultancy right or other legal or financial entitlement.


Any farmer payments, incentives, survival-based payments, carbon-related benefits, charcoal purchase arrangements, planting agreements, employment benefits, consultancy payments or partner obligations are governed by the relevant written agreements, approved Kijani policies, verification processes and applicable law.


Platform records may support monitoring, verification, reconciliation, audit and operational decision-making, but Kijani may require additional field checks, approvals, supervisory review, contractual verification or third-party verification before making any payment, benefit, certification, reporting or project decision.


Carbon credit claims, project certification, environmental claims, investor reporting, buyer or off-taker reporting and related disclosures may be subject to separate project documents, verification standards, contracts, regulatory requirements and third-party methodologies. Nothing in these Terms guarantees any carbon credit issuance, certification, sale, price, environmental outcome or farmer benefit.

11. Ownership of Data, Records, Content and Platform Materials

As between Kijani and Authorised Users, Kijani owns the Platform, its software, systems, workflows, templates, forms, dashboards, databases, reports, analytics, exports, documentation, content, designs, processes, field records, operational data, aggregated data, de-identified data and all intellectual property rights in or arising from the Platform, except where a separate written agreement provides otherwise.


Authorised Users assign to Kijani, to the extent permitted by law and applicable agreements, all rights they may have in records, reports, photos, notes, GPS data, documents, forms, uploads, comments, submissions and other materials created, collected, entered, uploaded or processed through the Platform in the course of their work or engagement with Kijani.


Nothing in these Terms removes any privacy or data protection rights that a farmer, employee, partner, supplier, community member or other data subject may have under applicable law. Personal data will be handled in accordance with Kijani's Data Privacy and Protection Policy and applicable law.


Kijani may use, analyse, aggregate, de-identify, anonymise, report, publish, share or commercialise Platform data and outputs for legitimate Kijani purposes, including operations, monitoring, verification, research, audits, reporting, project development, farmer support, environmental reporting, carbon project development, investor reporting, regulatory compliance and public impact communication, subject to applicable law and relevant agreements.

12. Prohibited Conduct

Users must not:

  • access or attempt to access the Platform without authorisation;

  • use another person's account, share credentials, impersonate another person or misrepresent authority;

  • falsify, manipulate, fabricate, duplicate, conceal, delete or tamper with Platform records, GPS data, photos, documents, tree counts, farmer records, survival checks, reports or approvals;

  • upload unlawful, misleading, fraudulent, defamatory, abusive, discriminatory, obscene, harmful, malicious, confidential or unauthorised material;

  • collect or upload personal data without required notice, consent, authority or lawful basis;

  • interfere with the security, integrity, availability, performance or operation of the Platform;

  • introduce malware, spyware, malicious code, automated scraping tools, bots or unauthorised software;

  • reverse engineer, copy, modify, sell, lease, sublicense, distribute or exploit the Platform except as expressly permitted by Kijani;

  • export, download, share, publish or disclose Platform data without authorisation;

  • use the Platform for personal gain, bribery, fraud, corruption, conflict of interest, unauthorised payments, unauthorised procurement or any activity inconsistent with Kijani's policies or applicable law;

  • harass, intimidate, mislead, exploit or abuse farmers, community members, colleagues, partners, suppliers or any other person; or

  • use the Platform in any manner that may harm Kijani, its staff, farmers, communities, partners, systems, reputation, legal compliance or operations.

13. Confidentiality

Authorised Users may access confidential information through the Platform, including farmer data, employee data, partner information, operational plans, financial information, reports, field records, business processes, code, system designs, security information, contracts and project data. Such information must be kept confidential and used only for authorised Kijani purposes.


Authorised Users must not disclose confidential information to any person or entity unless authorised by Kijani or required by law. This obligation continues after the Authorised User's employment, consultancy, contractor engagement or access to the Platform ends.

14. Third-Party Services

The Platform may depend on third-party services, including hosting providers, analytics providers, mapping providers, cloud infrastructure providers, crash reporting tools, notification services, app stores, operating systems, device manufacturers, internet service providers and other technical service providers.


Kijani is not responsible for failures, delays, inaccuracies, outages, security incidents, data processing practices or other issues caused by third-party services outside Kijani's reasonable control. Use of third-party services may be subject to separate third-party terms and privacy notices.

15. Service Availability and Changes

Kijani may modify, update, improve, suspend, restrict, replace, remove or discontinue any part of the Platform at any time for operational, security, legal, technical, business or project-related reasons.


Kijani aims to maintain a reliable Platform, but does not guarantee uninterrupted, error-free, secure or continuous availability. Maintenance, outages, upgrades, network failures, device issues, third-party failures, cyber incidents, field conditions or force majeure events may affect access or functionality.

16. Security, Monitoring and Audits

Kijani may monitor use of the Platform for security, operational integrity, quality control, audit, fraud prevention, compliance, troubleshooting and system improvement purposes, subject to applicable law and Kijani's privacy obligations.


Kijani may investigate suspected misuse, unauthorised access, fraud, data manipulation, security incidents, policy breaches or unlawful activity. Authorised Users must cooperate with reasonable investigations, audits, corrective actions and verification processes.

17. Suspension, Termination and Disciplinary Action

Kijani may suspend, restrict or terminate access to the Platform at any time where Kijani reasonably believes that a user has breached these Terms, violated Kijani policies, engaged in fraud, misused data, compromised security, acted outside authority, created operational risk or violated applicable law.

Kijani does not tolerate fraud, falsification, data tampering, unauthorised access, credential sharing, corruption or misuse of the Platform. Such conduct may result in immediate suspension of access, internal investigation, disciplinary action, termination of employment or engagement, recovery of losses, referral to law enforcement, civil action or other remedies available to Kijani.

Termination or suspension of Platform access does not affect confidentiality obligations, data protection obligations, ownership rights, indemnity obligations, accrued rights or any other provisions intended to survive termination.

18. Disclaimers

The Platform is provided for Kijani's operational and project purposes. To the maximum extent permitted by applicable law, Kijani provides the Platform on an "as is" and "as available" basis and does not guarantee that the Platform will always be accurate, complete, current, secure, uninterrupted, error-free or suitable for every field condition or user need.

Kijani does not warrant that Platform outputs, reports, GPS data, maps, photos, analytics or dashboards will be sufficient on their own for legal, financial, certification, payment, investment, tax, regulatory, carbon or contractual decisions without further review, verification or approval.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

19. Limitation of Liability

To the maximum extent permitted by applicable law, Kijani will not be liable for indirect, incidental, consequential, special, exemplary, punitive or loss-of-profit damages arising from or relating to use of the Platform, inability to use the Platform, incorrect user submissions, device failures, connectivity failures, third-party service failures, unauthorised access caused by user negligence or reliance on unverified Platform records.


Kijani's liability, if any, will be limited in a manner that is reasonable, proportionate and consistent with applicable law, Kijani's social enterprise mission and the nature of the Platform as an internal operational tool. This clause does not limit Kijani's obligations where liability cannot legally be limited.

20. Indemnity

To the extent permitted by applicable law, each user agrees to indemnify, defend and hold harmless Kijani, its directors, officers, employees, contractors, partners and representatives from and against losses, claims, damages, liabilities, penalties, costs and expenses arising from or relating to:
breach of these Terms;

  • fraud, misrepresentation, corruption, falsification, data tampering or unlawful conduct;

  • unauthorised access, credential sharing or misuse of the Platform;

  • unlawful, inaccurate, unauthorised or misleading data collection or uploads;

  • failure to obtain required consent, permission, approval or authority;

  • unauthorised disclosure of confidential information or personal data; or

  • violation of Kijani policies, applicable law or third-party rights.

21. Governing Law

These Terms are governed by the laws of the Republic of Uganda, without regard to conflict of law principles.

22. Internal Escalation and Dispute Resolution

Before commencing external legal proceedings, users must first raise any complaint, concern or dispute relating to the Platform through Kijani's applicable internal escalation process. This may include escalation to the user's supervisor, department head, Human Resources, Legal, IT or other designated Kijani authority, depending on the nature of the matter.

Kijani and the user will attempt to resolve disputes internally and in good faith within a reasonable period. Nothing in this clause prevents Kijani from taking urgent action to protect its systems, data, staff, farmers, communities, operations, confidential information, legal rights or reputation, including suspension of access, injunctive relief, disciplinary action or referral to relevant authorities where appropriate.

Where internal escalation does not resolve the matter, the dispute may be submitted to the courts or other competent dispute resolution forum in Uganda, subject to any dispute resolution process contained in a signed written agreement between the relevant parties.

23. Changes to These Terms

Kijani may update these Terms from time to time to reflect changes in the Platform, operations, law, policies, risk environment, third-party services or business requirements. Updated Terms may be posted on the website, made available through the Platform, circulated internally or incorporated into employment, consultancy, contractor, partner or other agreements.

Continued access to or use of the Platform after updated Terms become effective constitutes acceptance of the updated Terms, unless a separate written agreement provides otherwise.

24. Notices

Kijani may provide notices relating to the Platform by email, website notice, in-app notice, internal memo, staff communication channel, employment or consultancy communication or any other reasonable method.


Users may contact Kijani regarding these Terms at legal@kijaniforestry.com or through the appropriate internal reporting or escalation channel.

25. General Provisions

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.


Kijani's failure to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision or any other provision later.


Users may not assign, transfer or delegate their rights or obligations under these Terms without Kijani's prior written approval. Kijani may assign or transfer these Terms in connection with a restructuring, merger, acquisition, transfer of operations or similar event, subject to applicable law.


Headings are for convenience only and do not affect interpretation.
